The Company will report to its shareholders on its compliance with the UK Corporate Governance Code in accordance with the Listing Rules. As an Israeli company, the Company also complies with the corporate governance provisions of Israel’s Companies Law, 5759-1999 (the “Companies Law”).
The Company has procedures for the disclosure and review of any conflicts of interest, or potential conflicts, which the directors may have. The Board members are asked to disclose any conflicts of interest at each scheduled Board meeting. Each director is aware of their responsibility to avoid conflicts of interest and to disclose any conflict or potential conflict of interest to the Board. A director who has a personal interest in a matter that is considered at a meeting of the Board, the Audit Committee or the Remuneration Committee shall not attend that meeting or vote on that matter, unless a majority of the respective forum has a personal interest in the matter as well. If a majority of the Board, the Audit Committee or the Remuneration Committee, as applicable, has a personal interest in the transaction, then shareholders’ approval, by way of ordinary resolution, is also required. The authorisation of a conflict matter, and the terms of authorisation, may be reviewed at any time by the Board.
The Company encourages the participation of both institutional and private investors. The Chief Financial Officer, Mr. Elad Even-Chen, meets regularly with institutional investors, usually in regard to the issue of half and full year results. Communication with private individuals is maintained through the Annual General Meeting and the Company’s annual and interim reports. The chairmen of the Company’s audit, remuneration and nomination committees are made available to answer questions at the Company’s Annual General Meetings.
